01 — The Challenge

Associates buried in repetitive review work.

Sterling & Ash reviewed over 2,400 commercial contracts annually across M&A, SaaS, procurement, and licensing. Senior associates spent 60% of their time on low-value clause-by-clause comparison against playbooks — work that was critical but mechanical. Turnover was rising, margins were compressing, and clients were pushing for faster turnarounds.

6-Hour Avg Review

A standard 30-page commercial contract took a senior associate nearly a full day.

2,400 Contracts / Year

Volume was growing 22% YoY, but headcount was flat.

Inconsistent Playbook Use

Only 68% of deviations from preferred positions were being caught in manual review.

Associate Burnout

First-year attrition hit 31%, driven by repetitive clause-comparison work.

02 — The Methodology

An NLP pipeline that reads like a senior associate.

We built a three-stage contract intelligence pipeline — extract, classify, redline — grounded in the firm's playbooks and validated against partner-level judgment.

1

Extract — Clause-Level Parsing

A Document AI model (LayoutLMv3 + custom NER) ingests PDFs, Word, and scanned images, identifies clause boundaries, and extracts 38 clause types — from indemnities and limitation of liability to IP assignment and termination for convenience. Handles multi-column layouts, tables, and embedded schedules.

2

Classify — Playbook Alignment

Each extracted clause is semantically compared against the firm's 142 preferred playbook positions using a fine-tuned legal embedding model (SAP Legal-BERT). The classifier outputs alignment status (acceptable / deviating / missing), confidence score, and the specific playbook clause it maps to.

3

Redline — Risk-Aware Markup

For deviations, an LLM agent drafts redline language aligned with the firm's fallback positions, ranked by severity (critical / material / acceptable). Only high-risk deviations surface for associate review — low-risk items are auto-approved with audit trail. Output is a Word doc with tracked changes, ready for partner sign-off.
